Press release from the annual general meeting of Goobit Group AB (publ)
Goobit Group AB (publ), reg. no. 556952-8671 (the “Company”), held its annual general meeting on Thursday 15 October 2026 in Stockholm. All resolutions were passed unanimously and in accordance with the proposals in the notice.
Accounts and discharge from liability
The meeting adopted the income statement and balance sheet, and the consolidated income statement and consolidated balance sheet, for the financial year 1 May 2025–30 April 2026.
In accordance with the board of directors' proposal, the meeting resolved that no dividend be paid and that the amount at the disposal of the meeting, SEK 7,519,100, be carried forward.
The meeting discharged from liability the persons who served as directors or managing director during the financial year.
Board of directors, auditor and fees
In accordance with the nomination committee's proposal, the meeting resolved that the board of directors shall consist of three ordinary members without deputies. Christian Ander, Joakim Dahl and Michael Völter were re-elected as members, and Michael Völter was re-elected as chairman of the board. Mikael Köver was re-elected as auditor, with Simon Westerberg as deputy auditor.
Directors' fees are paid at SEK 150,000 to members who do not receive a salary from the Company and EUR 13,400 to the chairman. The fee for the term of office until the next annual general meeting, which as a result of the Company's shortened financial year 2026 will be shorter than normal, is paid in proportion to the actual length of the term of office. Fees to the auditor are paid in accordance with approved invoices.
Nomination committee ahead of the 2027 annual general meeting
The meeting resolved that the nomination committee ahead of the 2027 annual general meeting shall consist of members appointed by the three largest shareholders as of 30 November 2026, according to the share register maintained by Euroclear Sweden, together with the chairman of the board. The remaining principles are set out in the notice.
Amendments to the articles of association
The meeting resolved on the following amendments to the articles of association:
- General meetings may, following a resolution by the board of directors, be held entirely digitally (Section 8).
- The financial year is changed from 1 May–30 April to the calendar year, 1 January–31 December (Section 10). The current financial year is thereby shortened to the period 1 May–31 December 2026, after which the financial year follows the calendar year. An updated financial calendar will be published on the Company's website.
- The limits for the share capital are changed to not less than SEK 16,000,000 and not more than SEK 64,000,000, and the limits for the number of shares to not less than 1,600,000,000 and not more than 6,400,000,000 (Sections 4 and 5). The resolution was conditional upon the meeting's approval of the rights issue below.
The amendments are to be registered with the Swedish Companies Registration Office.
Authorisation for the board of directors to resolve on issues
The meeting authorised the board of directors to, during the period until the next annual general meeting, on one or several occasions and with or without deviation from the shareholders' preferential rights, resolve on the issue of shares, warrants and/or convertibles within the limits of the articles of association in force from time to time.
The rights issue
The meeting approved the board of directors' resolution of 14 September 2026 on a new issue of units with preferential rights for the Company's shareholders (the “Rights Issue”). The resolutions on new articles of association and the Rights Issue were mutually conditional and were both passed by the meeting, so the conditions for the resolutions are satisfied. In summary, the Rights Issue comprises the following:
- Not more than 73,931,510 units. Each unit consists of seventeen (17) shares and one (1) warrant of series TO 2. If fully subscribed, the Company will receive approximately SEK 25.1 million before issue costs.
- The subscription price is SEK 0.34 per unit, corresponding to SEK 0.02 per share. The warrants are issued free of charge.
- Five (5) unit rights entitle the holder to subscribe for one (1) unit. Payment may be made in cash or by set-off.
- The record date for participation in the issue is 20 October 2026, and the subscription period runs from and including 22 October up to and including 5 November 2026.
- Each warrant of series TO 2 entitles the holder to subscribe for five (5) new shares at a price of SEK 0.024 per share during the period from and including 18 May up to and including 1 June 2027.
The meeting further authorised the board of directors to (i) resolve on a new issue to enable over-allotment in the Rights Issue, of not more than 17,647,059 units and only if the Rights Issue is fully subscribed, and (ii) resolve on the issue of units to guarantors as guarantee compensation.
