Valuno publishes control balance sheet
Valuno Group AB (publ) (the "Company") announces that the control balance sheet prepared at the request of the Board of Directors, and now reviewed by the Company's auditor, shows that the Company's share capital has been depleted.
The control balance sheet will be considered at the extraordinary general meeting, also the first control meeting, previously convened by the Company for 5 August 2026. Since the control balance sheet shows that shareholders' equity is below half of the registered share capital, the question of liquidation is raised at the meeting. The Board proposes that the meeting resolve not to proceed with liquidation, but instead to make use of the so-called "breathing space" period (rådrumsfristen) under Chapter 25, Section 16 of the Swedish Companies Act, in accordance with the Board's proposal for Alternative 1 under Scenario B in the notice. The control balance sheet, the accompanying notes, and the auditor's statement will be published later today on the Company's website, investor.valuno.com.
The Board's statements pursuant to Chapter 13, Section 7 of the Swedish Companies Act regarding the proposed set-off share issues (kvittningsemissioner) to Netgraph Project Management Services and Interlace Sweden AB respectively, together with the auditor's opinion pursuant to Chapter 13, Section 8 of the Swedish Companies Act, will be published later today on the Company's website, investor.valuno.com. At the meeting, the Board will present its supplementary supporting material for the resolution on set-off.
The directed set-off share issues to Netgraph Project Management Services and Interlace Sweden AB, proposed at the meeting as part of restoring the share capital, are subject to a 24-month lock-up on the shares allotted through the issues.
