Valuno resolves on full allotment in the fully subscribed set-off share issues
The Board of Directors of Valuno Group AB (publ) has resolved on full allotment in the two set-off share issues approved at the extraordinary general meeting held on 14 September 2026. Both issues have been fully subscribed. Netgraph Project Management Services, reg. no. 935810, Dubai, is allotted 100,000,000 shares and Interlace Sweden AB, reg. no. 559199-0592, is allotted 100,000,000 shares, in each case with payment by set-off of SEK 12,740,000 of the respective subscriber's claim against the company.
The subscription price is SEK 0.1274 per share. The subscription period was extended on 28 September 2026 to and including 16 October 2026 to allow the lock-up and standstill undertakings required under the company's financing agreement to be completed.
Through the issues, the company's liabilities are reduced by a total of SEK 25,480,000. The share capital increases by SEK 2,000,000 to SEK 4,834,175.48 and the number of shares increases by 200,000,000 to 483,417,548. The remaining SEK 23,480,000 is allocated to the unrestricted share premium reserve. The dilution amounts to approximately 41 percent of the number of shares and votes.
Both subscribers have entered into identical lock-up and standstill undertakings with the company, as required under the financing agreement with Helena Global Investment Opportunities 1 Ltd. The shares are locked up until the earlier of twenty-four months from registration of the issue and the date on which the financing agreement has ceased to be in force and no convertible bonds remain outstanding. Over the same period the subscribers' remaining claims against the company may not be paid. Limited sales are permitted only if the closing price has been at or above SEK 0.40 on each of the thirty days immediately preceding the sale, subject to caps of one percent of the number of shares per thirty-day period and ten percent of the holding in aggregate.
The issues will be filed for registration with Bolagsverket. The articles of association in their new wording will be filed for registration only once both issues have been registered.
“With this, a substantial part of the company's liabilities has been converted into equity. We move forward with a stronger balance sheet and with an ownership base that is committed over time,” says Peter Liljeroos, Chief Executive Officer, Valuno Group.
