DonkeyRepublic Holding A/S carries out a private placement of new shares to existing investors at a subscription price of DKK 6.00 per share, raising gross proceeds of DKK 75M.
Reference is made to the company announcement No. 03 - 2026, where DonkeyRepublic announced its intention to carry out a private placement.
Today the Board of Directors of DonkeyRepublic Holding A/S (the "Company") resolved to carry out a private placement (the "Private Placement") of new shares to existing investors and issue 12.500.003 new shares of nominally DKK 0.10 each (the "New Shares") against cash contribution, raising gross proceeds of appr. DKK 75.0m.
The subscription price for the New Shares is DKK 6.00 each and was negotiated with the largest investors in the transaction, and the Board of Directors considers the subscription price of DKK 6.00 per share to be on market terms. As a reference, the average trading price over the last 30 trading days prior to February 4, 2026 was DKK 6.02.
The private placement of New Shares is subscribed by a strong consortium of 4 new investors, including Nordic Compound Invest and Avium, as well as 4 existing shareholders, including BankInvest and Sagitta Investments. Members of the Management, including CEO Thor Möger Pedersen and COO Signe Storgaard Sørensen are also participating.
After the capital increase the largest investors of the company will be

- Denmark's Export and Investment Fund - 18,6%
- Bladt Invest ApS - 14,3%
- CDM Holding 2016 ApS -10,8%
- Bank Invest: - 8,5%
The share capital increase pertaining to the Private Placement is carried out without pre-emptive rights for the Company's existing shareholders in accordance with the authorization granted to the Board of Directors and set out in article 4.3 of the Company's articles of association.
The New Shares will, upon issuance and registration with the Danish Business Authority and admission to trading on Nasdaq First North Growth Market Denmark, rank pari passu with the Company's existing shares and carry the same rights as the existing shares.
The share capital increase related to the Private Placement is registered with the Danish Business Authority as soon as practically possible, expectedly on or around 23th of February 2026.
The New Shares will upon registration of the capital increase be issued through VP Securities in the permanent ISIN of the Company's existing shares DK0061540770.
The New Shares are sought to be admitted to trading on Nasdaq First North Growth Market Denmark in the permanent ISIN of the Company's existing shares as soon as possible after registration of the capital increase with the Danish Business Authority.
Upon completion of the Private Placement the share capital of the Company will be nominally DKK 4.051.019,80 shares of nominally DKK 0.10 each. Each share carries one vote.
