The Board of Directors of SpectrumOne AB (publ) ("SpectrumOne" or the "Company") has today, pursuant to the authorization granted by the Annual General Meeting on 17 June 2025, resolved on a directed issue of 40,000,000 new shares to Vildmarksstugor i Norrland AB, with payment by way of set-off. The directed set-off issue is carried out in connection with the settlement of certain call options in Observit AB (publ), originally issued in connection with guarantee undertakings provided for the benefit of SpectrumOne.

SpectrumOne has entered into an agreement with Örjan Berglund and Vildmarksstugor i Norrland AB regarding the settlement of certain call options in Observit AB (publ) (the "Option Settlement"). The 60 000 000 call options were originally issued by SpectrumOne to Örjan Berglund and/or a company controlled by him in connection with guarantee undertakings provided for the benefit of SpectrumOne. For the purpose of the parties' settlement discussions, the average share price in Observit was calculated at SEK 0.44 per share.

As a result of the Option Settlement, Vildmarksstugor i Norrland AB has a claim against SpectrumOne amounting to SEK 15.0 million. In order to settle part of this claim in a cash-neutral manner and strengthen SpectrumOne's balance sheet, the Board of Directors has resolved on a directed set-off share issue of 40,000,000 new shares to Vildmarksstugor i Norrland AB (the "Directed Set-off Issue").

Terms of the Directed Set-off Issue

The subscription price in the Directed Set-off Issue is SEK 0.20 per share, corresponding to a total subscription amount of SEK 8.0 million. Payment for the new shares shall be made by way of set-off against part of Vildmarksstugor i Norrland AB's claim against the Company.

The Directed Set-off Issue comprises 40,000,000 new shares. The subscription price amounts to SEK 0.20 per share, corresponding to a total subscription amount of SEK 8.0 million. The subscription price has been determined through arm's length negotiations with the subscriber, taking into account SpectrumOne's share price (VWAP) and prevailing market conditions.

The right to subscribe for the new shares shall, with deviation from the existing shareholders' preferential rights, vest in Vildmarksstugor i Norrland AB. The reason for the deviation from the shareholders' preferential rights is to enable settlement of part of the Company's obligations to the subscriber arising from the agreement regarding the call options in Observit AB (publ).

The Directed Set-off Issue increases SpectrumOne's share capital by SEK 4,000,000, from SEK 37,422,090.40 to SEK 41,422,090.40. The number of shares in the Company will increase from 374,220,904 shares to 414,220,904 shares. The Directed Set-off Issue entails a dilution of approximately 9.7 percent for existing shareholders, based on the total number of shares after the Directed Set-off Issue.
