SRV Group Plc initiates the acquisition of its own shares for share-based incentive schemes

The Board of Directors of SRV Group Plc has decided to use the authorization granted by the Annual General Meeting held on 27 March 2025 to acquire SRV's shares. The acquisition of shares will begin no earlier than 12 February 2026 and will end once the required shares have been acquired. The maximum number of shares to be acquired is 63,000, which corresponds to approximately 0.37% of all SRV shares. The shares will be acquired for the implementation of the company's share-based incentive schemes.

The company's own shares will be acquired otherwise than in proportion to the existing shareholdings of shareholders, using the company's unrestricted equity, at the market price formed at the time of acquisition in public trading arranged by Nasdaq Helsinki Ltd. The shares will be acquired and paid for in accordance with the rules of Nasdaq Helsinki Ltd and Euroclear Finland Ltd.

The Annual General Meeting of 27 March 2025 authorized the Board to decide on the acquisition of a maximum of 1,700,000 shares in one or more instalments. The maximum number under the authorization corresponds to approximately 10% of the company's total number of shares. The acquired shares may be used, among other purposes, as consideration in corporate transactions, when the company acquires assets related to its business, as part of the company's incentive schemes or management share ownership programs, or otherwise for transfer, retention by the company, or cancellation. The authorization is valid until the next Annual General Meeting, but no later than 30 June 2026.

The total registered number of SRV shares is 16,982,343. SRV currently holds 19,572 of its own shares.
