Issue and repurchase of class E shares
Studsvik AB (publ) announces that the company has resolved to issue and immediately thereafter repurchase up to 7,500 Class E1-E6 2026 shares, comprising of 1,250 Class E1 2026 shares, 1,250 Class E2 2026 shares, 1,250 Class E3 2026 shares, 1,250 Class E4 2026 shares, 1,250 Class E5 2026 shares and 1,250 Class E6 2026 shares as well as up to 120,000 Class E7 2026 shares. The shares are issued and repurchased in accordance with the long-term incentive programmes Board LTIP 2026/2029:2 and Key Employee LTIP, which were adopted by the Extraordinary General Meeting on 18 August 2026. The size of the share issue has been determined with account taken to Studsvik's total need for class E shares for delivery to participants in Board LTIP 2026/2029:2 and Key Employee LTIP.
Danske Bank subscribes for the entire issue of new class E shares at a subscription price corresponding to the quota value of the shares, equivalent to SEK one (1) per share. All newly issued class E shares are repurchased by Studsvik for the same price per share.
The purpose of the share issue is to enable the participants in Board LTIP 2026/2029:2 and Key Employee LTIP to acquire class E shares. The class E shares may be reclassified into ordinary shares if certain share price conditions are met at the end of the programme. Class E shares not reclassified will be redeemed by the company. The class E shares do not entitle to dividends.
