Summa Defence Plc Company announcement 23 June 2026 at 5.10 p.m. EEST
A shareholder of Summa Defence Plc ("Summa Defence" or the "Company"), Oy Haapalandia Invest Ltd, has on 23 June 2026 submitted to the Company a demand for a special audit of the Company's administration and accounting pursuant to Chapter 7, Section 7 of the Finnish Companies Act. According to the demand, it is supported by shareholders Jerovit Investment Oy and PM Ruukki Oy. In accordance with the demand, the shareholders require that the proposal be processed at the Company's Annual General Meeting on 24 June 2026.
According to the demand, the audit would cover the Company's administration, management, accounting and use of assets during a period beginning no later than 1 January 2025 and ending on the date of the demand. According to the demand, the audit would cover, among other things, the following matters: the use of proceeds from the initial public offering, the premature depletion of funds in autumn 2025, the financial crisis, the acquisition and integration of purchased companies, the accuracy and adequacy of information provided in the listing prospectus, the lawfulness of the Company's disclosures, and the Company's administration and use of assets in general.
The shareholder submitting the demand and the supporting shareholders have stated that they collectively hold more than one-tenth of all shares and votes in the Company, thereby satisfying the minimum support requirement under Chapter 7, Section 7, Subsection 1 of the Finnish Companies Act.
Pursuant to the Finnish Companies Act, the proposal regarding the conduct of a special audit must be presented at the Company's Annual General Meeting on 24 June 2026. The shareholders submitting the demand have stated that they will seek the appointment of a special auditor pursuant to Chapter 7, Section 7, Subsection 2 of the Finnish Companies Act.
