Company Announcement no. 17/2026 – Inside Information: Dataproces Group A/S once again issues warrants to selected employees with the aim of retention and strengthening incentives.
Dataproces Group A/S has today resolved to implement a warrant programme for selected employees of the Company.
The warrants are granted free of charge and are issued pursuant to the authorisation granted to the Board of Directors under section 4.2 of the Company’s Articles of Association.
The warrant programme runs for one year and comprises a total of 97,842 warrants. Each warrant entitles the holder to subscribe for one share in Dataproces Group A/S with a nominal value of DKK 0.02. The programme may thus result in the issuance of up to 97,842 new shares, corresponding to a nominal increase in the share capital of DKK 1,956.84. The number may be lower, as warrants may lapse in accordance with the applicable terms, including in connection with termination of employment.
The number of warrants has been determined based on the volume-weighted average price (VWAP) of the shares in Dataproces Group A/S during the period from the publication of the Annual Report on 18 June 2026 and one month thereafter. The calculated average price amounts to DKK 4.7218 per share.
The warrants may be exercised at DKK 0.02 per share, corresponding to a subscription price of 100. This represents a benefit of DKK 4.7018 per warrant, calculated on the basis of the above average price.
The warrants vest on 1 September 2027 and may thereafter be exercised during the period from 1–14 September 2027 in accordance with the terms of the programme.
As a result of the issuance, the remaining authorisation under section 4.2.1 of the Company’s Articles of Association is reduced to 3,628,827 warrants, corresponding to a nominal amount of DKK 72,576.54. The Company’s Articles of Association will be updated accordingly.
