CODE: CodeLab Capital reaches agreement to take over the OHS company BHT Sørvest Norge SA

Reference is made to CodeLab Capital AS' ("CodeLab" or the "Company")
announcement of 17 September 2026 regarding the contemplated acquisitions of two
add-ons within the OHS vertical.
CodeLab can today confirm that it is BHT Sørvest Norge SA ("BHTSV") that is one
of the contemplated add-ons. Earlier today there was an extraordinary annual
meeting in BHTSV where its owners/members unanimously voted in favor of a
takeover by Agil Helse AS (a company owned 100% by CodeLab).
The transfer of business, including all assets, employees and customer contracts
will take place as soon as possible.
For CodeLab this further strengthens the OHS vertical where the companies could
benefit from each other by providing better and more efficient services. BHTSV
has a strong foothold in southern part of Norway and brings great customer
relationships and a skilled workforce.
BHTSV had NOK 15.3 million in revenues for 2025 and with a zero EBITDA profit.
There will not be any cash or share settlement as this transaction is purely a
transfer of business, and as such it will not impact the liquidity of the group
besides the cash flow generation.
