Magnora Data Center ASA: Completion of transaction and resolution to issue new shares

Reference is made to the stock exchange announcements dated 12 August 2026 and
25 August 2026, relating to Magnora Data Center ASA (MDATA) increasing its
ownership in the Hämeenlinna data center project from 70% to 100%.
The transaction is today completed. As previously announced, a part of the
payment is MDATA shares and hence, the Board of Directors of MDATA has today
based on its existing authorisation issued 1,326,666 new MDATA shares at NOK 15
per share. The shares will be issued and delivered to the seller in the
transaction, Northern Europe Energy Group AS ("NEEG"). As the shares are paid
for by way of set-off against a seller credit issued by NEEG in connection with
the transaction, existing shareholders do not have a pre-emption right to
subscribe for the new shares.
Following registration of the new shares with the Norwegian Register of Business
Enterprises, the share capital of MDATA will be NOK 6,079,599.96, divided into
101,326,666 shares, each with a nominal value of NOK 0.06.

with Magnora ASA as a parent company, and building on Magnora's track record of
value creation in renewables and infrastructure since 2019.
