Oslo, Norway, 19 May 2026: In connection with a restructuring, NTi Holding AS
("NTi Holding") has transferred 1,269,351 shares in Norsk Titanium AS ("Norsk
Titanium") to its shareholder Scatec Innovation AS ("Scatec Innovation").
The share transfer is carried out solely for the purpose of simplifying the
ownership structure to shares in Norsk Titanium for Scatec Innovation. NTi
Holding is owned 100% by Scatec Innovation, that will neither increase nor
decrease its relative ownership to shares in Norsk Titanium as a result of the
restructuring.
NTi Holding and Scatec Innovation are legal persons associated with John
Andersen, who is the chairman of the board of Norsk Titanium. Notifications of
the transaction by associates of primary insiders in accordance with the Market
Abuse Regulation Article 19 are attached.
After the transfer of shares, NTi Holding holds 1,628,900 shares in Norsk
Titanium, subject to a share lending agreement entered into between NTi Holding
and several shareholders of Norsk Titanium in connection with the listing of the
Company on Euronext Growth Oslo.
