Oslo, 3rd June 2026. Norwegian Block Exchange AS (NBX), a leading Nordic
cryptocurrency service provider and first Norwegian listed active Bitcoin
treasury company, today announced the closing of the seventh put option period
and the initiation of POA 8.
Reference is made to the stock exchange notice from Norwegian Block Exchange AS
on 16th April 2026 regarding the issuance of a seventh Put Option Notice related
to the agreement with LDA Capital Ltd. ("LDA").
Following the close of the period for the seventh put option notice, LDA Capital
subscribes to 10,000,000 Ordinary Shares at a subscription price of NOK 0.530.
The company has initiated Put Option Agreement 8. The purpose is to meet the
accumulative regulatory capital requirements for the company's E-money license
and the forthcoming CASP (Crypto-Asset Service Provider) license under MiCA.
Reference is made to the stock exchange notice of 27th June 2025 regarding the
financing agreement with LDA Capital. Pursuant to the existing loan agreement,
Observatoriet Invest AS, a close associate of board member Bjørn Kjos, has
previously delivered loan shares to LDA Capital Ltd. The existing loan share
balance is sufficient to facilitate POA 8 without additional share delivery. The
shares constitute a loan and will be returned to Observatoriet Invest AS once
the period is completed and new shares are issued. Similar to previous loans, no
interest or fees will be paid.
NBX fully controls the equity dilution under this agreement and retains the
right to set a minimum acceptable price (MAP) for the drawdown.
