4 March 2025: Reference is made to the stock exchange notice published on 3
March 2025 regarding a potential sale of existing shares in Dolphin Drilling AS
(the "Company") by S.D. Standard ETC Plc ("SDSD") and Strategic Value Partners
("SVP" and together with SDSD, the "Vendors") through an accelerated
bookbuilding offering (the "Placing").

SDSD has agreed to sell 49,784,706 shares in the Company through the Placing,
representing approximately 17.1% of the share capital and votes in the Company,
at a price of NOK 1.1 per share for a total transaction size of approximately
NOK 55 million. SVP has decided not to proceed with selling shares in the
Placing.

Following completion of the Placing, SDSD will no longer hold any shares in the
Company, and SVP and SVP-controlled funds, will continue to hold 69,850,826
shares, representing approximately 23.9% of the total number of outstanding
shares in the Company. 

In connection with the Placing, SDSD has also agreed to transfer all of its
rights and obligations under a shareholder bridge loan facility (the
"Shareholder Loan") provided to the Company in March 2023 by SDSD and certain
other lenders. The rights and obligations under the Shareholder Loan shall be
transferred to one of the buyers in the Placing, for a consideration
corresponding to 30% of SDSD's principal amount of USD 7.5 million under the
Shareholder Loan, i.e. USD 2.25 million.

SDSD is represented on the board of directors (the "Board") in the Company by
Martin Nes as Chairman of the board (SDSD). A notification of trade by SDSD will
be published separately.

Arctic Securities AS and DNB Markets, part of DNB Bank ASA, acted as joint
bookrunners in connection with the Placing (the "Managers").
