Oslo, 27 February 2026: Reference is made to the stock exchange announcement
published on 19 December 2025 regarding the launch of a voluntary cash offer by
Bidco Clover AS (the "Bidder") for all issued and outstanding shares (the
"Shares") in Spir Group ASA (the "Company") not already directly or indirectly
controlled by the Bidder at an offer price (the "Offer Price") of NOK 8.567 per
share (the "Offer"). Reference is further made to the stock exchange
announcement published earlier today on 27 February 2026 regarding the
completion and settlement of the Offer.
The following primary insiders and their close associates have accepted the
Offer and agreed to sell all of their respective Shares in the Company to the
Bidder at the Offer Price:
- Rolv Erik Ryssdal, chair of the board, and Barney Invest AS, a close associate
of Rolv Erik Ryssdal, have agreed to sell 107,867 and 1,733,102 Shares at the
Offer Price, respectively, representing a total of 1,840,969 Shares.
- Rasche Investeringer AS, a close associate of board member Preben Rasch-Olsen,
has agreed to sell 631,545 Shares at the Offer Price.
- Sigrun Syverud, board member, has agreed to sell 47,850 Shares at the Offer
Price.
- White Horse AS, a close associate of board member Monica Beate Tvedt, has
agreed to sell 22,799 Shares at the Offer Price.
- Arlberg Invest AS, a close associate of CEO Per Haakon Lomsdalen, has agreed
to sell 636,943 Shares at the Offer Price.
- Line Cecilie Grønvold Stenseth, CFO, has agreed to sell 35,246 Shares at the
Offer Price.
- Erling Olaussen, Chief of Strategy and M&A, and Erling Olaussen Invest AS, a
close associate of Erling Olaussen, have agreed to sell 48,248 and 112,242
Shares at the Offer Price, respectively, representing a total of 160,490 Shares.
- Arild Elverum, CEO of Ambita, has agreed to sell 26,663 Shares at the Offer
Price.
- Anny Margrethe Bratterud, HR Director, has agreed to sell 72,253 Shares at the
Offer Price.
- Jonas Åkerman, CEO of Metria AB, has agreed to sell 73,502 Shares at the Offer
Price.
- Tere AS, a close associate of board observer Espen Karlsen, has agreed to sell
73,502 Shares at the Offer Price.
